Honigman was formed as a corporate law firm nearly 75 years ago. The firm was built on a work ethic commensurate with the times and an unwavering commitment to excellence. Most of the firm’s clients at that time were based in and around Detroit, Michigan, the automobile capital of the world.
Today, we enjoy a very diverse corporate group encompassing the wide array of skillsets necessary to help enterprises and their constituents thrive. A substantial number of our 150 + corporate attorneys are devoted to Mergers & Acquisitions and Private Equity. Each of these groups consistently ranks among the most active nationally based on closed transactions. In 2021 and 2022, our transactional attorneys closed over 1,000 transactions. In addition to our prominent transactions practices, our corporate group encompasses a broad range of other specialties, which have earned independent acclaim from clients and peers.
Our Public Company, Securities and Governance attorneys represent U.S. public companies across a broad spectrum of market capitalizations, industries and ownership structures. Our team serves as trusted advisors to senior management and Boards on compliance matters (including Exchange Act and securities exchange reporting), a range of public and private capital markets offerings, governance and key policies, executive and director compensation, shareholder outreach and activism, and investor relations. We are recognized for our responsiveness, problem solving and depth of expertise. We are actively involved in core, ordinary course financial, operational, commercial and strategic planning matters, as well as extraordinary transactions, such as proxy contests, takeover defense and mergers and acquisitions. Our Finance group works with clients to fund growth, including growth via acquisition, to reorganize their capital structures and to achieve economic efficiencies. Attorneys within the group have extensive experience in structuring and executing a wide range of public and private financing transactions that extend across diverse industries and achieve a breadth of objectives. Our Technology Transactions and Data Privacy, Privacy and Cybersecurity groups, in addition to teaming with our M&A and Private Equity attorneys in transactions involving technology and data issues, focuses on the intersection of law and technology and on understanding, protecting and managing intellectual property, information, and data assets (including in compliance with privacy and information security laws and regulations). These groups partner with our clients to identify, acquire, and monetize IT and IP assets, regularly advising on licensing and cloud services agreements, and the proper management and protection of business-critical information, data, and intellectual property in a rapidly changing environment. Our Tax group works closely with our Corporate department, particularly the Private Equity and M&A groups, on structuring and negotiating domestic and cross-border merger, acquisition, financing, and other transactions. Our Tax attorneys are experienced in negotiating both taxable and tax-free transactions involving public and private and strategic and financial acquirers and targets. Our Tax group also works extensively with our Real Estate department on a wide variety of complex matters, including choice of entity, publicly traded and private REITs, Tax credit and Opportunity Zone investments, and tax-free like-kind exchanges. Our Venture Capital group represents clients involved in all aspects of financing, operation, and sale of technology-based companies in the U.S. and other parts of the world. Our technology-based clients cover a broad range of industries from software to drug therapies.
