Overview
Paul Howarah is a partner in Honigman’s Corporate and Private Equity practices, where he represents private equity sponsors, their portfolio companies, family offices, and public and privately held companies in complex strategic transactions, including mergers and acquisitions, divestitures, capital raises, joint ventures, and broader corporate matters. His practice focuses on strategic acquisitions, majority and minority investments, and ongoing governance, with an emphasis on structuring and execution to support long-term business objectives. Known for his practical, outcome-driven approach, Paul helps clients navigate complex transactions efficiently while keeping deals aligned with their growth strategy.
Clients turn to Paul as a business-minded advisor who brings a practical understanding of the commercial dynamics underlying each transaction. He works closely with leadership teams, including C-suite executives, general counsel, and private equity professionals, to align deal structure, timing, and execution with operational priorities and long-term goals. From pre-sale preparation through post-closing integration, Paul provides clear, actionable guidance that enables clients to make confident decisions and drive value throughout the investment lifecycle.
Paul’s experience spans a wide range of corporate transactions, including private equity platform and add-on acquisitions, minority investments, and divestitures. He has advised on and closed over 100 transactions with deal values ranging from under $1 million to over $1 billion. He also regularly advises on corporate governance matters, minority stockholder rights, and structural considerations for both new and existing portfolio companies. Prior to joining Honigman, Paul worked at a Big Four accounting firm, where he advised private equity groups and corporations on the tax implications of mergers, acquisitions, divestitures, and other corporate transactions. This combined legal and tax background enables him to deliver well-rounded, business-aligned advice and execute efficiently in fast-paced deal environments.
