Clara Seymour brings experience and market insight to Honigman’s finance practice and serves as the leader of the Corporate Finance Practice Group.

Clara is known for nimble problem solving, pro-active risk management counseling, and mastery of complex and bespoke financing structures, such as split-lien, multi-layered subordination, convertible debt (including secured, unsecured, bridge and long-term convertibles), equity kickers, and other debt capital solutions. She approaches each client’s unique business goals with unflappable and pragmatic resolve.

Clara executes transactions across a broad scope of financing types and structures, including acquisition financing, private equity financing, asset-based lending, recapitalization, and corporate restructuring transactions. She represents borrowers and lenders for the entire life cycle of their credit facilities, from structuring, negotiation, and documentation, to post-closing administration (including add-on acquisition joinders), refinancing, payoff, or other exit, including restructuring and workout.

Clara regularly advises private equity sponsors and private equity portfolio companies in finance and other strategic and capital-related matters. She also represents closely held businesses and middle-market to large enterprises. Clara’s practice extends to a wide variety of industries, including manufacturing, industrials, automotive, distribution, fast food franchisees, food products, software, and professional and other services. She also excels in her representation of companies operating in regulated industries, such as export/import, healthcare, life sciences, pharmaceuticals, cannabis, and gaming.

Financing and Capital Raising

  • Represented investors in connection with domestic and cross border (US/Canada) transactions in the cannabis industry totaling over $450 million in capital raised and involving various forms of securities, including convertible debentures, convertible notes, warrants and common and preferred equity.
  • Represented gaming company in $1.05 billion first lien and second lien notes
  • Represented gaming company in $450 million revolving and term loan facility
  • Represented Rocket Mortgage LLC in its issuance of $1.250 billion senior notes and $1.01 billion senior notes
  • Represented North American Bancard, LLC in its $715.0 million senior secured revolving and term loan facility
  • Represented home security system provider in its refinancing transactions in its approximately $180 million refinancing transactions involving four layers of progressively subordinated facilities
  • Counsels venture capitalists and start-up and early stage businesses in connection with investments in the form of preferred stock and debt
