Rachel Rhodes

Rachel Rhodes focuses her practice on representing emerging growth companies, founders and investors in a broad range of corporate and transactional matters.

Rachel advises venture-backed companies throughout their life cycle, from formation and early-stage financing through later-stage capital raising, strategic transactions and exit opportunities. She regularly assists clients in preparing for outside investments, meeting investor expectations, corporate governance considerations, managing growth-related legal and business considerations, and positioning companies for future liquidity events.

Rachel also represents venture capital funds and other strategic investors in corporate finance and capital raising transactions, including preferred stock financings, venture debt transactions, recapitalizations and other alternative financing structures. She regularly advises on strategic equity investments and board representation, and reviews and negotiates financing documents.

In addition to her private company and venture capital practice, Rachel advises on select public company matters, including corporate governance, fiduciary duty considerations, securities law compliance, and capital markets transactions. She works closely with boards, management teams, founders, and investors to help structure, negotiate, and execute mission-critical transactions across a range of industries.
