Overview

Jenna Simon is an experienced insurance and regulatory attorney who focuses on helping clients develop and manage alternative risk programs, including the formation and ongoing operation of captive insurance companies. She advises on the creation of captives in various domiciles, as along with risk retention and risk purchasing groups across all 50 states. Jenna regularly consults on insurance matters such as licensing for agencies, producers, and brokers, the transaction of insurance nationwide, and captive mergers and consolidations. She frequently helps clients navigate complex insurance arrangements and interacts with state regulators to ensure compliance with insurance laws and program structuring.

Jenna regularly conducts insurance policy reviews and provides guidance on claims and coverage issues, including reservations of rights and denials of coverage. She also drafts key legal documents, such as governing documents, investment management agreements, dividend policies, and investment policy statements, and assists with various corporate filings. Jenna works closely with offshore counsel and service providers to meet her clients' goals in these areas.

In addition to her insurance practice, Jenna is active in the healthcare sector, advising clients on structuring transactions to comply with the Anti-Kickback Statute, Stark Law, HIPAA, and Medicare reimbursement requirements. She assists with due diligence in mergers and acquisitions, and guides clients through regulatory filings related to corporate ownership changes. Jenna's knowledge of state-specific corporate practice of medicine laws allows her to offer valuable advice on permissible ownership structures for medical professionals. Jenna also reviews and negotiates agreements concerning clinical trials, data collection, and medical device studies, and advises on contractual matters concerning indemnification, confidentiality, and laboratory services agreements.
