Overview
Jenna Simon is an insurance and regulatory attorney who primarily focuses her practice on the following key areas.
- Works with clients to develop and manage alternative risk programs, including captive insurance companies
- Forms captives, risk retention groups and risk retention groups in various domiciles and assists those companies with ongoing operations
- Advises on insurance matters including agency, producer and broker licensing, and the transaction of insurance across the 50 states
- Corresponds regularly with state regulators regarding insurance matters and program structuring

- Revises insurance business agreements such as investment management agreements and bank custody agreements
- Assists clients with captive mergers and consolidations
- Communicates with offshore legal counsel and other offshore captive service providers to achieve client objectives
- Assists with risk purchasing group and risk retention group registrations and ongoing matters across the 50 states
Jenna is also involved in health care practice and general contract review.
- Advises clients on structuring transactions and relationships to comply with the Anti-Kickback Statute, the Stark Law, HIPAA, state and federal licensure laws, and Medicare reimbursement requirements
- Performs due diligence review in connection with affiliations, mergers, and acquisitions
- Assists health care clients with regulatory filings in connection with corporate changes of ownership, including those related to licensing, permits and accreditations, and corresponds with state regulators in connection with state-licensing matters
- Analyzes corporate practice of medicine laws and "friendly professional corporation" doctrines in various states to advise medical professionals on permissible ownership structures
- Prepares regulatory filings for clients, such as Medicare and Medicaid change of ownership applications
- Reviews and negotiates contract terms for clinical trial and research agreements involving sponsors, facilities, investigators and product developers
- Reviews and negotiates contracts involving data collection, aggregation, device studies and medical device product implementation
- Reviews nondisclosure and confidentiality agreements
- Advises on contractual matters concerning indemnification and limitation of liability
- Advises on matters concerning laboratory services agreements
