Overview

Rachel Myung is a corporate attorney with a concentration in private equity and securities and corporate governance. She represents clients with mergers, acquisitions, financings, transactional matters, private and public securities offerings, and compliance and disclosure under Securities and Exchange Commission (SEC) rules and listing standards.

  • Represents private equity funds and both publicly and privately held companies
  • Assists public companies in drafting and negotiating various transaction documents with respect to SEC filings, public offerings, and compliance issues
  • Assists clients with complex business transactions, including structuring and negotiating strategic and leveraged acquisitions and divestitures, mergers and acquisitions, equity and debt financings, recapitalizations and restructurings, and general corporate counseling
  • Drafts and negotiates agreements for buy-side and sell-side private equity transactions, including acquisition agreements, equity rollover agreements, employment agreements and non-disclosure and confidentiality agreements
  • Manages due diligence review process including management interviews, review of corporate records, business contracts, and litigation issues
  • Manages deal team workflow, coordination of the signing and closing process, and facilitates governmental filings
