Patrick Valenti is a corporate attorney who focuses his practice on securities and corporate governance. He represents clients with private and public securities offerings, compliance and disclosure under Securities and Exchange Commission (SEC) rules and listing standards, financings, mergers, acquisitions, and other transactional matters.

  • Assists public companies in drafting and negotiating various transaction and disclosure documents with respect to public offerings and SEC filings, including proxy statements, Exchange Act filings, and press releases
  • Assists public and private companies with corporate finance and capital raising transactions, including initial public offerings, primary and secondary offerings, and private placements
  • Prepares and reviews corporate governance documentation, including organizational documents, committee charters, and other company policies

Patrick also has experience representing fund sponsors on the formation, structuring, marketing, and operation of private equity and venture capital funds and their management companies.
