Melanie Van Antwerp practices corporate, securities and finance law, with particular emphasis on venture capital financing, mergers and acquisitions, and corporate governance.  Melanie has represented both closely-held and publicly-traded companies in connection with a wide range of financing activities, including private placements and public offerings.  She has extensive experience counseling clients in all stages of development.

  • Represents corporations and institutional venture firms with respect to their high-technology and growth-equity investment activities
  • Advises strategic investors in making minority investments and in monitoring those investments from inception to exit
  • Counsels officers and directors of both privately-held and publicly-traded companies in the exercise of their fiduciary duties in a variety of contexts, including mergers and acquisitions, equity and convertible debt financings, anti-takeover defenses, shareholder communications, and related party transactions
  • Handles mergers and acquisitions for clients in a wide range of industry sectors, including medical device, pharmaceutical, media, finance, insurance, and construction equipment manufacturing
  • Represents clients in structuring, negotiating and consummating complex commercial transactions, both domestic and international; prepares license, manufacturing and supply, distribution, and material transfer agreements
  • Counsels publicly-traded companies regarding their disclosure obligations in light of economic, technological, competitive and regulatory changes; facilitates the identification of risks applicable to clients in a variety of industries and the assessment of the materiality of those risks


  • Served as investor counsel and company counsel in dozens of venture financings, ranging from Series A to Series D, for companies in the areas of autonomous vehicles and related technologies, information technology, advanced manufacturing and materials, medical devices, agricultural biotechnology, and drug therapies
  • Extensive experience preparing registration statements and Exchange Act reports
  • Advised a NASDAQ-listed medical device company in its $75 million universal shelf registration statement, $15 million confidentially marketed public offering of common stock, and $46 million confidentially marketed public offering of common stock
  • Represented a Michigan-based pharmaceuticals company in a stock sale for $75 million, a Michigan-based equipment supply company in an asset sale for $123 million, and a U.S. media company in its acquisition of an Indian internet company
