Clara Seymour is a corporate attorney focusing her practice on finance, mergers and acquisitions, and information technology.

  • Represents publicly and privately held companies in mergers, acquisitions, divestitures, business formation, corporate restructuring, secured and unsecured financing, and other general corporate matters
  • Advises borrowers regarding asset-based lending, syndicated credit facilities, high-yield note offerings, FF&E financing, debt restructurings, dividend recapitalizations, subordinated and unsecured financing options, and other complex debt transactions ranging from $500,000 to $1.25 billion
  • Counsels borrowers in connection with financing and capital raising in various industries, such as gaming companies, online marketing service providers, retail mortgage lending, payment processing, food retail and processing, and automotive testing and supply and parts manufacturing
  • Represents private equity funds in connection with senior and mezzanine financings for acquisitions of new and add-on portfolio companies and refinancing in various industries, such as IT infrastructure solutions, home security, marketing, website services, telecommunications, fire detection and security services, food retail and processing, and small business loans/alternative financing
  • Represents clients in connection with corporate restructuring issues
  • Counsels clients with respect to drafting and negotiating various transactions in the information technology field, including matters involving hardware purchase and installation, software development agreements, software licenses, software as a service (SaaS) agreements, hosting services agreements, and website and privacy policy terms and conditions

Financing and Capital Raising
  • Represented national retail mortgage origination and servicing company in its two senior unsecured note offerings for $1.25 billion and $1.01 billion principal amount, respectively
  • Represented national payment processor company for its $710 million credit facility
  • Advised gaming company in its refinancing transactions involving a total of $1.225 billion in debt facilities, including a super priority revolving credit facility, first lien note offering, second lien note offering, and an unsecured term loan
  • Advised gaming company in its $450 million refinancing transactions
  • Represented home security system provider in its refinancing transactions in its approximately $180 million refinancing transactions involving a first lien revolving facility, second lien term loans, subordinated mezzanine term loans, and subordinated unsecured loans
  • Represented gaming company in connection with going-private transaction, corporate restructuring, and subsequent $445 million refinancing
  • Assisted lumber materials retailer in connection with $600 million revolving and term loan facilities and related financing matters
  • Represented real estate development companies in capital raising for retail home and commercial properties
  • Frequently represent various small to middle market companies in connection with financing matters
  • Represented borrowers as local counsel in connection with providing legal opinions for financing transactions
