Clara Seymour is a corporate attorney focusing her practice on finance, mergers and acquisitions, and information technology. 

  • Represents publicly and privately held companies in mergers, acquisitions, divestitures, business formation, corporate restructuring, secured and unsecured financing, and other general corporate matters
  • Advises borrowers with high-yield offerings, second-lien note offerings, FF&E financing, debt restructurings, and other debt facilities ranging from $1 million to $1.25 billion
  • Counsels borrowers in connection with refinancings, such as gaming companies, online marketing services providers, food retail and processing, automotive supply and parts manufacturing, medical device providers, tracking and logistics services businesses, and retail clothing business
  • Represents private equity funds in connection with senior and mezzanine financings for acquisitions of new portfolio companies and add-on acquisitions for existing portfolios in various industries, such as marketing, lumber materials wholesale/retail, telecommunications, food retail and processing, small business loans/alternative financing, clothing and outdoor goods retail, and physical rehabilitation services
  • Represents clients with respect to corporate restructuring of private equity portfolio companies
  • Counsels clients with respect to drafting and negotiating various transactions in the information technology field, including matters regarding software development agreements, software licenses, software as a service (SaaS) agreements, hosting services agreements, and website and privacy policy terms and conditions


Financing and Capital Raising
  • Represented national retail mortgage and servicing company in its $1.25 billion senior unsecured note offering
  • Advised gaming company in its $570 million senior secured credit facility, $380 million senior subordinated notes, and $125 million FF&E financing
  • Represented gaming company in connection with going-private transaction, corporate restructuring, and subsequent $445 million refinancing
  • Assisted lumber materials retailer in connection with $600 million revolving and term loan facilities and related financing matters
  • Represented real estate development companies in capital raising for retail home and commercial properties
  • Counseled gaming company in its $310 million senior secured credit facility and $30 million FF&E financing for its casino development project
  • Assisted swim school franchisees in connection with new franchise openings and related equity financing/capital raising
Mergers and Acquisitions
  • Assisted in asset acquisitions by private equity client of several lumber and building materials companies and related financing transactions
  • Counseled client in connection with sale of its advertising firm
  • Advised client regarding asset acquisition via Section 363 sale of lumber materials wholesaler
  • Assisted with acquisition of stock of disaster restoration construction company
  • Counseled client in a venture capital financing of a mobile app provider
Information Technology
  • Counseled publicly held global manufacturing company in restructuring its $1 billion outsourcing arrangement with a global information technology services provider
  • Advised clients regarding technology due diligence and technology transfer issues in mergers and acquisitions
