Andrea Lee is a health care lawyer and partner at Honigman. She focuses her practice on health care transactions and regulatory matters with an emphasis on representing post-acute care providers.

 Andrea’s key areas of expertise include:

  • Mergers, acquisitions, and sales of skilled nursing facilities, assisted living facilities, senior living communities, home care, and hospice
  • Medicare and Medicaid provider enrollment and changes of ownership (CHOW)
  • Corporate practice of medicine and private equity MSO arrangements
  • Clinical trial agreement drafting and negotiation on behalf of study sponsors and sites
  • Telemedicine and digital health regulatory matters, including scope of practice, licensure, and contracting
  • Stark law, Anti-Kickback statute, and False Claims Act compliance
  • HIPAA, including data breach notifications and investigations, policies and procedures, and business associate agreements


  • Counseled a national nonprofit healthcare system in the sale of three skilled nursing facilities and two hospices
  • Acted as health care regulatory counsel for a private equity fund in the acquisition of dermatology practices nationwide
  • Represented a regional hospice agency in the sale to a national chain
  • Acted as local counsel for acquisition of a senior housing facility, including independent living, assisted living, and memory care
  • Counseled a telemedicine startup on state and federal health care regulatory requirements
  • Advised client on large HIPAA breach affecting more than 500 health care records
  • Extensive experience advising health care clients, including physician groups, laboratories, and others, with regards to the Stark law, Anti-Kickback statute, and state fraud and abuse regulations
