Overview

Allison Stelter is a tax attorney who focuses her practice on corporate taxation, the taxation of real estate investment trusts (REITs), partnerships, other pass-through entities, mergers and acquisitions, and financial products taxation. She also advises clients generally on various aspects of U.S. federal income and withholding taxation.

  • Counseled REITs on acquisitions transactions including tax protection agreements, investment structuring, taxable REIT subsidiary structures, mezzanine loans, and distressed debt
  • Represented REITs in securitized debt transactions, merger and acquisition transactions, reorganizations, and subsidiary spin-offs
  • Evaluated and structured various securitization, resecuritization, debt, and grantor trust transactions
