Overview

Jeff Kuras focuses his practice on representing private and public companies in a broad range of corporate and securities law matters. He has a dynamic corporate law practice with particular emphasis on public company reporting and compliance, public securities offerings, and public and private mergers and acquisitions and dispositions. He has a broad range of experience across industries and across market capitalizations.  Jeff regularly counsels clients on operational, compliance, risk management, general contract, and strategic planning matters. He has extensive experience in corporate finance and capital raising transactions, including initial public offerings, de-SPAC and reverse merger transactions, as well as primary and secondary offerings.

Jeff’s practice includes drafting and reviewing public company filings and investor relations communications and leading NYSE/Nasdaq compliance efforts. He also prepares and reviews corporate governance documentation, including key policies impacting directors, officers and other stakeholders.

Jeff has participated in a significant number of domestic and international M&A transactions for public and private companies, primarily regarding public company, securities and governance considerations and general corporate matters.
