Advises public and private companies regarding complex information technology and business process outsourcing transactions, both domestic and international
Directs clients through legal, technical and transactional challenges arising in technology transactions and the technology procurement process in various industries, including automotive, health care, manufacturing, financial services and defense
Counsels clients in restructuring and re-negotiating a variety of transactions including outsourcing, in-sourcing, managing acquisitions and divestitures in outsourcing and terminating outsourcing arrangements
Represents clients involved in buying and selling technology goods and services, including software licensing, software development (on and off-shore), ERP and other system implementations, systems integrations, back office processing services, ASP and SaaS agreements, technology licensing agreements, hosting and data center agreements, telecommunications and network management agreements, and hardware acquisition and maintenance agreements
Advises assists clients on the acquisition, development, implementation, integration, licensing, financing, marketing, and sale of technology
Represents clients in hardware purchases, hardware installation and maintenance agreements
Assists clients with technology development transactions, including software development agreements, and agreements for the development of other intellectual property
Counsels technology companies on technology distribution arrangements, including reseller agreements
Advises clients with regard to technology due diligence and technology transfer issues in M&A transactions
Advises clients on re-negotiating and restructuring troubled vendor-customer relationships
Extensive experience with service agreements, joint ventures, strategic alliances, M&A transactions, distribution agreements, reseller agreements, co-branding agreements and other similar commercialization agreements
