Overview

Mr. Wilda is a partner in the Private Equity practice group. He concentrates his practice on corporate transactions, counseling clients on a wide range of complex business deals, including mergers, acquisitions, divestitures, leveraged buyouts, private equity and venture capital investments, recapitalization, private financing, executive compensation, equity incentive arrangements and other general corporate matters. He advises clients in numerous industries, including health care, manufacturing, software, technology, energy services, professional services and marketing.

Experience

  • Provided general counsel services for a number of private equity-sponsored portfolio companies, including general corporate governance, operational matters, employee incentive and retention plans, and contracts
  • Oversaw transactions, which included managing associates and drafting and negotiating corporate transaction documents, such as merger and other purchase and sale agreements, disclosure schedules, preferred and common stock terms, and limited liability company agreements 
  • Served as an executive management team member for private equity-sponsored business and one of the country's largest discovery-management practices focused on providing corporations and law firms with technology-enabled solutions to manage electronic discovery; lead the strategic solutions team, which focused on developing and managing nationwide strategic accounts
  • Assisted in issuer representation in securities offerings
  • Advised clients on 1934 Act filing requirements and prepared requisite forms
