Ms. Winningham is a real estate attorney with more than 30 years of experience representing owners, lenders and developers in complex commercial and financing transactions. She advises clients on leasehold mortgages, complex project-based financing, acquisitions, dispositions, joint ventures and build-to-suit transactions.

  • Represents owners and developers in connection with construction projects, including single short-term projects to complex, multi-year, multi-phased, multi-million dollar developments
  • Handles client projects in a wide spectrum of industries, including five-star hotels, hospital expansion and large scale renovation projects, assisted living facilities, and sports facilities
  • Represents lenders in first mortgage loans, mezzanine loans, construction loans, sale-leaseback transactions and other structured financings


  • Represented lenders in leasehold mortgage loans financing the development of high profile student housing projects
  • Represented a developer in the ground lease and acquisition of real estate for construction of a state-of-the-art cancer treatment center on a hospital campus, with complex project financing, design, construction and management of multi-phased development
  • Represented developers of large construction projects, such as 5-star hotels, corporate headquarters, office buildings and the construction of interior tenant spaces
  • Represented clients in the development of playing fields for major league sports teams
  • Counseled clients, negotiated contracts and participated in the construction and development of a structural steel mill and finishing line
  • Represented landlords and tenants in complex property development and office leases
  • Served as outside general real estate counsel for the legal implementation of an expansion program for a multi-national corporate tenant with more than six million square feet under lease
  • Handled refinancing of $300 million multi-property real estate portfolio
