Mr. Hoeg focuses his practice in the area of general corporate governance with particular emphasis on venture capital representation and mergers and acquisitions. He also works extensively with start-up enterprises, including those in the life science and software fields.

  • Advises clients on the multitude of issues facing new entrepreneurs
  • Counsels and aids in creation of documentation covering the provision of custom software as a service (SaaS) and related technology issues
  • Advises clients in acquisition, development, licensing, marketing and sale of technology, with particular emphasis on software technology and information systems

  • Represented several university professors in disparate matters related to their involvement with technology-based corporations "spun off" from the research conducted for their university employers
  • Assisted client in multi-stage international acquisition of accreditation and certification management entities
  • Aided major real estate development client in understanding and complying with securities filing requirements in a more than 20 state private offering
