Mr. Beitner is well-versed in corporate law and finance, including corporate and securities law, commercial loans, mortgage banking, asset securitization, mergers and acquisitions.  

  • Advises clients with respect to commercial loan transactions, including private equity financing transactions at the senior credit and mezzanine levels, and asset securitization transactions
  • Advises clients with respect to securities offerings and SEC compliance, including filings under the JOBS Act
  • Represents clients in connection with merger and acquisition transactions
  • Provides general advice regarding governance issues
  • Representative clients include business clients, entrepreneurs, private equity firms and lending institutions


  • Represents a private equity sponsor and its portfolio company in connection with acquisition financings under a $100 million asset-based lending revolving credit facility and a $300 million cross-liened term debt facility
  • Represented a national home builder in obtaining a $500 million revolving line of credit under a syndicated credit facility
  • Represented an "emerging growth" technology company in connection with the offering of securities and filings under the JOBS Act
  • Represented a client with respect to its offering and sale of $275 million in high-yield notes, which offering included an exchange offer for previously existing notes
  • Represented a client in connection with its $635 million revolving credit and term loan facility
  • Represented a mortgage banking client with regard to a $150 million master repurchase facility
  • Assisted an automotive client in selling one of its subsidiaries to a Chinese company
  • Has handled private equity financing transactions since 2002
  • Counseled clients with regard to asset securitization transactions (mortgage-based bonds, CMOs, receivables financings and commercial paper conduit programs) since 1979
  • Acted as counsel to a special committee of the board of directors of a bank holding company
  • Has consummated numerous merger and acquisition transactions and dispositions of businesses and companies and related redemptions of equity
