Mr. Keuten focuses his practice primarily on advising clients in connection with health care regulatory, corporate and transactional matters. A significant portion of his practice is dedicated to representing clients in a wide array of transactions involving information technology matters.

  • Represents clients in connection with affiliations, mergers and acquisitions
  • Advises health care providers regarding compliance matters, including the Stark Law, Anti-Kickback Statute, and state fraud and abuse laws
  • Drafts and negotiates commercial contracts related to information technology matters, including licensing agreements, hosting agreements, and hardware acquisition and maintenance agreements 
  • Counsels clients on health care licensure and certification issues 
  • Represents managed care companies with regard to provider enrollment, certification and various other third-party payor issues 
  • Advises clients regarding data privacy and security matters, including HIPAA and HITECH issues 
  • Counsels clients on general corporate law matters and organizational issues


  • Assisted a large, national Catholic health care system in various acquisition and divestiture transactions, including the acquisitions of hospitals, nursing facilities and senior living facilities
  • Assisted health care systems in the acquisition of physician practices
  • Assisted home health provider in the acquisition of multiple home health companies
  • Represented national provider of kidney care and renal products with various commercial contracts related to health care and information technology matters
  • Structured electronic health record donation programs for health care systems
  • Assisted global industrial company in the restructuring of its information technology outsourcing arrangement
  • Assisted provider of home care and infusion pharmacy services with unwinding of a joint venture with a large health care system
  • Assisted for-profit health care system with the acquisition of a non-profit, community hospital
  • Represented Medicare and Medicaid HMO with various matters, including provider contracting and credentialing issues
  • Represented a start-up health and wellness information technology company with organizational matters, data privacy and security issues, and commercial contracting
