Overview

Mr. Stern is a litigation attorney who possesses extensive experience in complex commercial litigation, securities and corporate litigation (including federal and state class actions) and real estate litigation. He represents litigants in state and federal trial and appellate courts, and arbitrations.

Experience

Commercial Litigation
  • Defended claims against a computer manufacturer for breach of a software license agreement in an arbitration that included 69 hearing days
  • Obtained summary judgment for OEM in litigation arising out of OEM's termination of purchase orders with German supplier
  • Obtained multi-million dollar judgment for manufacturer of wireless digital telephone system in suit to recover amounts owed under contracts
  • Represented retailer against claim for nonpayment for goods delivered by supplier, obtaining summary judgment for retailer and payment on counterclaim for cover damages
  • Handled litigation arising out of purchases and sales of businesses, both stock and asset transactions
  • Defended various banking entities against customers' claims of violations of Uniform Commercial Code (UCC) Articles 3 and 4
  • Represented both buyers and sellers in UCC Article 2 disputes
  • Obtained voluntary dismissal of contribution claims by bank against check printer arising out of bank's payment of stolen checks with forged endorsements
  • Enforced loan agreements and recovery of amounts owed on behalf of various lending entities
  • Defended claims for commissions brought by manufacturers' representatives against manufacturers
  • Litigated against the Michigan Department of Treasury representing business owners regarding a dispute under the Tobacco Products Tax Act; Keweenaw Bay Outfitters & Trading Post v. Dept. of Treasury, 252 Mich. App. 95 (2002)
  • Defended nationwide class action suits in state and federal courts filed against manufacturer of pickup truck bedliners
  • Prosecuted infringement claims arising out of unauthorized sales of products that did not meet trademark owner's quality standards
Securities and Corporate Litigation
  • Obtained dismissals of derivative claims against the directors of a public utility; In re Consumers Power Company Derivative Litigation, 111 F.R.D. 419 (E.D. Mich. 1989), and 132 F.R.D. 455 (E.D. Mich. 1990)
  • Obtained dismissal of suit against asset based lenders alleging that loan participation agreements were securities under the Michigan Uniform Securities Act; Noyd v NBD Business Finance, Inc., 186 Mich. App. 333 (1990)
  • Obtained summary judgment for corporation in shareholder suit seeking to force redemption of preferred stock
  • Obtained summary judgment for corporation in suit by shareholder claiming corporate restructuring was a violation of prior settlement agreement
  • Defended nationwide federal securities class action arising out of nuclear power plant construction project, representing the plant owner and its directors
  • Represented directors and officers in federal securities class action arising out of initial public offering of dental laser manufacturer
  • Defended investment management company on claim that company breached its duties to customer by failing to sell bond investment when the bond's rating fell
  • Represented issues in defense of federal securities class action arising out of initial public offering (IPO) of training company
  • Defended oppression claims by minority shareholders, representing closely held corporations and majority shareholders
  • Handled management disputes involving limited liability companies and their members and managers
Real Estate and Related Litigation
  • Represented shopping center developers and commercial landlords in disputes over common area maintenance charges, exclusive use provisions, calculation of percentage rent, interpretation of automatic lease renewal terms, radius clauses and other lease disputes
  • Defended claims against shopping center developers under the Americans with Disabilities Act
  • Advised clients in real property disputes arising out of purchase and sale agreements, including actions for specific performance, representing buyers and sellers
  • Counseled vendors in land contract forfeiture actions
  • Represented owner of severed mineral interests against claim of abandonment under the Michigan Dormant Minerals Act; Energetics, Ltd. v. Whitmill, 442 Mich. 38 (1993)
  • Defended numerous actions to enforce loan guaranties
  • Defended actions to enforce and foreclose construction liens
