Mr. Crawford is a corporate attorney focusing his practice on mergers and acquisitions, entity formation, corporate governance and corporate records management, primarily for private equity firms.

  • Represents clients in a diverse range of industries, including life sciences, medical device, pharmaceutical, high technology, manufacturing, marketing and advertising
  • Assists clients in a variety of corporate matters from start-up company formations to complex commercial transactions

Experience

  • Represented venture capital fund in initial and follow-on investments in life science, drug development and medical device companies in more than $30 million purchase of preferred securities and convertible debt
  • Aided organizers in a private placement of $18 million of bank holding company common stock and in the formation of national banking association
  • Represented Mexican auto supplier in the $150 million acquisition of U.S.-based structural products business
  • Assisted in a $10 million acquisition of conveyor and screening equipment manufacturer and expansion into Texas
  • Advised minority shareholders in a stock redemption and takeover of closely held companies worth $7.5 million
  • Represented publishing house in the $7 million sale to a leading information source and intelligence gathering public company
  • Counseled clients on qualified retirement and welfare plan design, administration, consolidation and termination, reporting and disclosure requirements, claims procedures and fiduciary duties
