Ms. Boucher is a corporate attorney who focuses her practice on corporate and securities law with an emphasis on the representation of emerging growth companies in a wide variety of transactions, including venture capital financings, private placements, strategic alliances, research and development collaborations, technology licenses and acquisitions, international transactions, clinical and pre-clinical study agreements, supply, distribution and manufacturing agreements. Ms. Boucher also represents venture capital funds in connection with financings and other transactions.

  • Handles private financing transactions for both investors and issuers
  • Acts as general counsel for emerging companies in various stages of development, with an emphasis on life science, biotechnology, medical device and drug development companies 
  • Advises clients on transaction structure, strategy and general legal matters


  • Represented a cancer therapeutic development company in a $7 million convertible bridge offering, a $12 million offering of Series B-1 Preferred Stock and a $5 million offering of convertible promissory notes and warrants 
  • Represented a medical device company in an $8 million Series A Preferred Stock venture capital financing
  • Represented a cancer diagnostic company in a $2 million convertible debt offering 
  • Represented a dental medical device company in a $4 million Series A Preferred Stock financing 
  • Negotiated a License Agreement on behalf of a cancer therapeutic drug development company with a publicly traded biotechnology company 
  • Represented an agricultural biotechnology company in a $2.5 million Series A-1 Preferred Stock financing; a $1 million convertible bridge offering and an $8 million Private Placement of Series B Convertible Preferred Stock
  • Represented a drug development company in its conversion from a corporation into a limited liability company and $32.5 million Series D preferred equity financing offering
  • Negotiated a cross-license agreement on behalf of a cardiac monitoring device company with a Fortune 50 medical device company
  • Negotiated a license agreement on behalf of a biotechnology company with an Indian manufacturer of xylitol
  • Negotiated distribution and manufacturing agreements on behalf of a publicly traded cardiac medical device company
  • Represented a publicly traded cardiac medical device company in common stock PIPE offerings
  • Represented a medical device company in the diabetes field in a $4 million private placement and Series B Preferred Stock offering
  • Represented a publicly traded biotechnology company in its a $9 million acquisition of molecular diagnostics clinical laboratory
