Ms. Sprecher counsels clients in the highly regulated health care and insurance industries. She frequently advises clients on regulatory compliance, general corporate matters, HIPAA, health information technology and a wide range of business transactions. A significant portion of her practice is dedicated to counseling health plans and other insurance companies on Michigan regulatory matters.

  • Advises clients regarding the HIPAA Privacy and Security Rules and the HITECH Act, including addressing potential breach notification incidents, negotiating HIPAA business associate agreements and drafting policies and procedures
  • Counsels health care providers on various federal and state regulatory matters, including Medicare and Medicaid enrollment, licensing, compliance, corporate practice of medicine and healthcare fraud and abuse issues (e.g., Stark Law and Anti-Kickback Statute)
  • Counsels clients on legal issues related to e-health initiatives and represents clients in transactions involving information technology, including licensing and hosting agreements
  • Represents a variety of insurance and health care clients in start-up and organizational matters
  • Represents clients in the drafting and negotiation of clinical trial and related research agreements
  • Drafts, reviews and negotiates a wide range of contracts for complex business transactions
  • Counsels insurance companies, HMOs and third party administrators on general corporate matters and day-to-day compliance with Michigan Department of Insurance and Financial Services’ regulations
  • Assists clients with development and implementation of compliance plans
  • Counsels providers and payors on expanding state and federal regulation under the Affordable Care Act


  • Provides ongoing representation to a leading cancer hospital in the drafting and negotiation of clinical trial agreements and other research related compliance matters
  • Assisted various health insurance companies and HMOs with entry into the Michigan market, including drafting applications for Certificates of Authority and various other regulatory approvals
  • Assisted a large, national Catholic health care system in the acquisition of a regional health system comprised of three hospitals, two hospice providers and a nursing facility in a single transaction
  • Partnered with in house counsel to lead the post-closing licensure and re-branding initiative during a regional corporate reorganization of a large health system
  • Drafted template master services and goods agreement, including statement of work, and related documents for a large national health system  
  • Assisted health system in negotiation of system-wide information technology contracts
  • Represented physicians in the formation of an ambulatory surgery center
  • Assisted various hospitals and health care providers in the formation of a health care quality institute
  • Managed regulatory due diligence in a multi-million dollar bond financing
