Jennifer Benedict is a skilled and pragmatic healthcare attorney with significant experience representing a variety of healthcare providers, including hospitals, health systems, behavioral health providers and ambulatory surgery centers. Her practice focuses on large M&A transactions, affiliations and joint ventures.   

Jennifer regularly advises providers on Medicare and Medicaid provider enrollment and change of ownership, state licensure and accreditation change of ownership, contractual arrangements as well as compliance matters, including the Stark Law, Anti-kickback Statute and HIPAA.

Representative Matters

  • Represented a health system in its buy out of its JOA partner, and separate purchase of certain of the JOA partner’s hospitals, home health and hospice operations as part of the same transaction

  • Represented a health system in a master affiliation agreement with an academic health system, and as part of the master affiliation agreement represented the health system in a joint venture transaction involving the transfer of hospital assets to a newly formed nonprofit corporation that was a wholly-owned subsidiary, then subsequently transferred 49% of that new entity’s membership interest to the academic health system

  • Represented a health system in joint operating agreements with a university-affiliated health system for operation of service line joint ventures

  • Assisted a Catholic healthcare system in its acquisition of a hospital and related operations from a for-profit national healthcare system

  • Represented a hospital in joint venture with a for-profit behavioral health provider

  • Represented a hospital in contract negotiations with an operator of a behavioral health crisis unit

  • Assisted in acquisition of a PACE Program by a health system

  • Represented a cancer hospital in sale of its interest in a freestanding cancer center joint venture

  • Represented a behavioral health provider in an affiliation with a regional healthcare system

  • Represented a pharmacy in formation of a joint venture with a software company and healthcare provider

  • Assisted a Catholic health care system in purchase of three Catholic hospitals

  • Assisted in acquisition of interest in a gastroenterology ASC by a hospital
